Brexit effects on cross-border mergers between Germany and UK


German law aspects of a cross-border merger between a German entity and an entity domiciled in another EU or EEA country are governed by Sec. 122a et seq. of the German Transformation Act (Umwandlungsgesetz, UmwG). With the Brexit approaching, Sect. 122m UmwG came into force on 1 January 2019.

That provision grants a transitional period of two years for cross-border mergers involving a UK entity to still be treated as an EU/EEA cross-border merger, if the merger plan (i.e. the merger agreement) is notarised prior to exit day or prior to the expiry of a transition period laid down in a withdrawal agreement. However, in spite of its wording and the corresponding intention of the German legislator, the new provision will in fact meet its objectives only if the corresponding UK regime will be amended accordingly in due course as well. Otherwise, the timeframe for completing a British-German cross-border merger will actually remain unchanged and, given the various deadlines applicable to outbound cross-border mergers under UK law, such merger process that is not already running by now can at least not be completed by 29 March 2019. We will be glad to advise you on alternative options to reorganise your group structure – now or after Brexit!

Collection and processing of personal data

In principle, we collect, process and use personal data only if you give your consent or if a legal provision, in particular Art. 6 para. 1 sentence 1 lit. b to f GDPR, permits the processing or use.

 

Personal data in connection with mandates

In connection with providing legal advice and legal services, we collect and process personal data of (potential) clients, their contractual partners and opponents, as well as third parties involved in the mandate or related to it, such as advisors, auditors, court personnel or witnesses. This includes the respective mandate holders, representatives and employees.

 

The personal data includes, in particular, contact and communication data, as well as, depending on the type of mandate, further data that is transmitted to us or obtained by us in the course of the mandate. In individual cases, in particular for mandates in the area of labour law, we may also process special categories of personal data within the meaning of Art. 9 para. 1 GDPR, such as health data.

 

In this context, the collected data will only made available to employees that are involved in the respective mandate and that are necessary for its proper processing and execution. A transfer may take place, among others, to the following third-party recipients: supervisory authorities, tax authorities, service providers, credit reference agencies, courts, law enforcement authorities and other government agencies, auditors. We take all appropriate measures to disclose only the personal data necessary for the processing.

 

When we collect and process personal data of our clients or potential clients, this is done for the purpose of advising our clients and for the performance and execution of the mandate, i.e. to fulfil the pending or concluded legal services contract. The basis for this is Art. 6 para. 1 sentence 1 lit. b GDPR. In the context of the identification and verification of mandates prescribed by the Money Laundering Act, in the processing for accounting and tax purposes or in the case of an obligation to disclose personal data to government agencies due to a law or an order, we process the personal data on the basis of Art. 6 para. 1 sentence 1 lit. c GDPR to fulfil our corresponding legal obligation. If the processing of special categories of data within the meaning of Art. 9 para. 1 GDPR is necessary for the assertion, exercise or defence of legal claims, we process these data on the basis of Art. 9 para. 2 sentence 1 lit. f GDPR.

 

The processing of personal data of opposing parties, contractual partners of our clients and other third parties is carried out in accordance with Art. 6 para. 1 sentence 1 lit. f GDPR due to our overriding legitimate interest in providing legal advice and legal services to our clients.

 

Personal data in connection with other business contacts

Furthermore, personal data of persons with whom the law firm maintains business relationships may be collected and processed. This includes, in particular, personal data of contact persons of service providers and suppliers, which we collect and process for the purpose of executing the aforementioned contracts. The legal basis for this is Art. 6 para. 1 sentence 1 lit. b GDPR.

 

Personal data in connection with our website

Among other things, you can use the website to subscribe to publications such as our newsletter, submit job applications or register for our events. Data is only collected, stored and processed if you provide it to us when ordering the newsletter, submitting an application or registering for events. Registering for an event

 

You can register for events using a registration form on our website. To do so, you need to provide your name and email address for the purposes of organising and running the event. Further information, in particular the name of your company, can be provided voluntarily.

 

Data processing for the purpose of registering for one of our events is carried out on the basis of your voluntarily granted consent in accordance with Art. 6 para. 1 sentence 1 lit. a GDPR or on the basis of Art. 6 para. 1 sentence 1 lit. b or f GDPR.

 

Application

 

As part of the application process, you provide us with personal data. This includes, in particular, master data (title, surname, first name, title, address, telephone number, email address) as well as further information from your application documents, such as date of birth, qualifications, professional career. This data is processed for the purpose of applying for employment.

 

Your data is accessible to the personnel managers and will be made available to selected managers in individual cases. The data will only be processed for the stated purpose to the extent necessary to process the application. The data will be regularly deleted no later than 6 months after completion of the application process, unless you have voluntarily consented to a longer retention period, in accordance with Art. 6 para. 1 sentence 1 lit. a GDPR.

 

The legal basis for the processing of personal data in the context of your application to us is Art. 88 GDPR in conjunction with Section 26 of the German Federal Data Protection Act (BDSG) in its latest version.

 

Log files

 

When you use our website for informational purposes only, we only collect the personal data that your browser transmits to our server. The information is temporarily stored in a so-called log file. The following information is collected without any action on your part and stored until it is automatically deleted: IP address of the requesting computer, date and time of access, name and URL of the retrieved file, referrer URL (website from which access is made), browser used and, if applicable, your computer's operating system and the name of your access provider.

Deletion of your data

 

Unless prevented by statutory retention requirements, your data will be deleted if you request the deletion, if the data is no longer required to fulfil the purpose for which it was stored, or if its storage is no longer permitted for other legal reasons. The personal data collected by us for the mandate will be stored until the expiry of the statutory retention obligation for lawyers (6 years after the end of the calendar year in which the mandate was terminated) and then deleted, unless we are obliged to store it for a longer period of time in accordance with Art. 6 para. 1 sentence 1 lit. c GDPR due to tax and commercial law storage and documentation obligations (from the German Commercial Code (HGB), German Criminal Code (StGB) or German Fiscal Code (AO)) require a longer storage period or you have consented to a longer storage period in accordance with Art. 6 para. 1 sentence 1 lit. a GDPR.

 

Transfer of data to third parties

 

Your personal data will not be transferred to third parties for purposes other than those listed below. We will only transfer your personal data to third parties if:

  • you have given your express consent in accordance with Art. 6 para. 1 sentence 1 lit. a GDPR,
  • the transfer is necessary pursuant to Art. 6 para. 1 sentence 1 lit. f GDPR to assert, exercise or defend legal claims and there is no reason to assume that you have an overriding interest worthy of protection in not transferring your data,
  • in the event that there is a legal obligation to pass on the data in accordance with Art. 6 para. 1 sentence 1 lit. c GDPR, and
  • this is necessary for the performance of a contract to which you are party in accordance with Article 6 para. 1 sentence 1 lit. b GDPR. This includes, in particular, the transfer of data to opposing parties and their representatives (in particular their lawyers) as well as to courts and other public authorities for the purpose of correspondence and to assert and defend your rights.

The transferred data may be used by third parties exclusively for the stated purposes. The attorney-client privilege remains unaffected. Insofar as the data is subject to the attorney-client privilege, it will only be transferred to third parties in consultation with you.

 

Your rights

 

You have the right:

 

  • to request information about your personal data processed by us in accordance with Art. 15 GDPR. In particular, you may request information about the purposes of the processing, the category of personal data, the categories of recipients to whom your data has been or will be disclosed, the planned storage period, the existence of a right of rectification, cancellation, restriction of processing or objection, the existence of a right of appeal, the origin of your data if not collected by us, and the existence of automated decision-making including profiling and, if applicable, meaningful information about the details;
  • in accordance with Art. 16 GDPR, to demand the immediate correction of incorrect or incomplete personal data stored by us;
  • to request the erasure of your personal data stored by us in accordance with Art. 17 GDPR, unless the processing is necessary to exercise the right to freedom of expression and information, to fulfil a legal obligation, for reasons of public interest or to establish, exercise or defend legal claims;
  • to request the restriction of the processing of your personal data in accordance with Art. 18 GDPR, insofar as the accuracy of the data is disputed by you, the processing is unlawful but you refuse to allow its deletion and we no longer require the data, but you require it for the assertion, exercise or defence of legal claims or you have lodged an objection to the processing in accordance with Art. 21 GDPR;
  • in accordance with Art. 20 GDPR, to receive the personal data concerning you, which you have provided to us, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller;
  • to revoke your consent to us at any time in accordance with Art. 7 para. 3 GDPR. As a result, we are no longer allowed to continue the data processing based on this consent in the future, and
  • to complain to a supervisory authority in accordance with Art. 77 GDPR. As a rule, you can contact the supervisory authority at your usual place of residence or work or at our office.

Right of objection

 

If your personal data are processed on the basis of legitimate interests in accordance with Art. 6 para. 1 sentence 1 lit. f GDPR, you have the right to object to the processing of your personal data in accordance with Art. 21 GDPR, provided that there are reasons for doing so that arise from your particular situation or the objection is directed against direct mail. In the latter case, you have a general right to object, which we will implement without you having to specify a particular situation.

Allgemeine Mandatsbedingungen der kallan Rechtsanwaltsgesellchaft mbH

 

1. Geltungsbereich
1.1 Diese Allgemeinen Mandatsbedingungen gelten für alle Verträge zwischen der kallan Rechtsanwaltsgesellschaft mbH („kallan") und ihren Auftraggebern („Mandanten") über die rechtliche Beratung, Vertretung und Geschäftsbesorgung einschließlich Prozessführung und für sonstige Aufträge („Mandat" bzw. „Mandate"), soweit die Parteien nicht ausdrücklich etwas anderes schriftlich vereinbart haben oder dies gesetzlich zwingend vorgeschrieben ist.
1.2 Diese Allgemeinen Mandatsbedingungen gelten auch für alle gleichzeitig oder künftig erteilten weiteren Aufträge des Mandanten, soweit nichts Entgegenstehendes schriftlich vereinbart wird.
1.3 Entgegenstehende oder von diesen Allgemeinen Mandatsbedingungen abweichende Bedingungen des Mandanten werden nicht anerkannt, es sei denn kallan stimmt ihrer Geltung ausdrücklich zu.
2.  Mandatsumfang und Ausführung des Mandats
2.1 Gegenstand des jeweiligen Mandats ist die jeweils vereinbarte Leistung, nicht ein bestimmter (wirtschaftlicher) Erfolg. Der Gegenstand jedes Mandats richtet sich nach der jeweiligen Mandatserteilung durch den Mandanten im Einzelfall. Eine Mandatserteilung kann mündlich, schriftlich oder per E-Mail erfolgen. Ein Mandatsverhältnis kommt erst durch Annahme einer Mandatserteilung durch kallan zustande.
2.2 Soweit kallan im jeweiligen Mandat verpflichtet ist, Ergebnisse schriftlich darzustellen, so ist nur die schriftliche Darstellung maßgebend. Mündliche Erklärungen und Auskünfte außerhalb eines erteilten Mandats sind stets unverbindlich.
2.3 Alle aufgrund dieser Allgemeinen Mandatsbedingungen erbrachten Leistungen erbringt kallan ausschließlich gegenüber dem Mandanten. Gegenüber Dritten haftet kallan nur, wenn kallan im Einzelfall auf Nachfrage des Mandanten eine solche Haftungsübernahme ausdrücklich schriftlich erklärt.
2.4 Die Weitergabe beruflicher Äußerungen von kallan (Berichte, Gutachten, Schriftsätze, Verträge etc.) an Dritte bedarf der vorherigen schriftlichen Zustimmung, soweit sich nicht bereits aus dem Inhalt des erteilten Mandats die Einwilligung zur Weitergabe an einen bestimmten Dritten ergibt.
2.5 Jedes Mandat wird nach den Grundsätzen ordnungsgemäßer Berufsausübung ausgeführt. kallan ist berechtigt, sich zur Durchführung des Mandats Mitarbeitern, fachkundiger Dritter sowie datenverarbeitender Unternehmen zu bedienen.
2.6 Die Bearbeitung des Mandats erfolgt ausschließlich aufgrund des Rechts der Bundesrepublik Deutschland und umfasst nicht die steuerliche Beratung. Etwaige steuerliche Auswirkungen wird der Mandant durch fachkundige Dritte (z. B. Steuerberater, Wirtschaftsprüfer) auf eigene Veranlassung klären und etwaige Gestaltungsanforderungen kallan unverzüglich mitteilen. Sofern das Mandat ausländisches Recht berührt, weist kallan rechtzeitig darauf hin. Die Berücksichtigung ausländischen Rechts bedarf der ausdrücklichen schriftlichen Vereinbarung. EU-rechtliche Regelungen gelten nicht als ausländisches Recht in diesem Sinne.
2.7

Wenn zur Beratung in Rechtsfragen nach deutschem oder ausländischem Recht die Einschaltung Dritter erforderlich oder sinnvoll oder vom Mandanten gewünscht ist, wird der Dritte im Zweifel direkt als Auftragnehmer für den Mandanten tätig, soweit kallan und der Mandant nicht ausdrücklich schriftlich etwas anderes vereinbaren.

Soweit der Mandant ausdrücklich wünscht, dass ein Dritter als Unterauftragnehmer von kallan tätig wird, nimmt er zur Kenntnis und erklärt sich bereits durch die entsprechende Beauftragung des Dritten damit einverstanden, (a) dass kallan nur für die sorgfältige Auswahl und Instruktion des Dritten haftet, und eine Haftung für die Tätigkeit des Dritten i.ü. ausgeschlossen ist, und (b) dass Versicherungsschutz durch die Versicherung von kallan nur in dem in (a) vereinbarten Umfang besteht.

2.8 kallan ist nicht verpflichtet, den Mandanten nach Abgabe einer abschließenden beruflichen Äußerung auf Änderungen der Rechtslage oder sich daraus ergebende Folgerungen hinzuweisen.
3. Zusammenarbeit von kallan und Mandant während des Mandats
3.1 kallan wird dem Mandanten mitteilen, welche Informationen kallan für die Bearbeitung des erteilten Mandats benötigt und den Mandanten auf die aus Sicht von kallan notwendigen Unterlagen und Informationen hinweisen.
3.2 Der Mandant wird kallan bei der Erledigung des jeweiligen Mandats unterstützen und kallan auch ohne besondere Aufforderung rechtzeitig alle für die Ausführung des Mandats notwendigen oder relevanten Informationen und Unterlagen rechtzeitig zur Verfügung stellen.
3.3 Der Mandant wird darüber hinaus kallan unverzüglich von allen weiteren Vorgängen und Umständen informieren, die für die Ausführung des Mandats von Bedeutung sein können. Dies gilt auch für Unterlagen, Vorgänge und Umstände, die erst nach Beginn der Bearbeitung des Mandats durch kallan bekannt werden.
3.4 kallan ist berechtigt, sowohl bei der Beratung in Einzelfragen als auch bei der Dauerberatung die vom Mandanten genannten Tatsachen, insbesondere Zahlenangaben, als richtig und vollständig zugrunde zu legen. Dies gilt nicht, wenn eine entsprechende Prüfung ausdrücklich Gegenstand eines Mandats ist. kallan ist jedoch verpflichtet, den Mandanten auf im Rahmen eines Mandats festgestellte Unrichtigkeiten hinzuweisen.
3.5 Der Mandant wird kallan zur Vorlage bei Behörden, Gerichten und sonstigen Dritten schriftliche Vollmachten erteilen. Eine kallan erteilte Vollmacht kann nur schriftlich widerrufen werden.
4. Vergütung, Kostenerstattung, Abtretung, Aufrechnung
4.1 Die Vergütung richtet sich nach der zwischen kallan und dem Mandanten separat geschlossenen Vergütungsvereinbarung. Sofern eine Vergütungsvereinbarung nicht abgeschlossen wird, erfolgt eine Abrechnung nach den Bestimmungen des Rechtsanwaltsvergütungsgesetzes (RVG).
4.2

Zusätzlich zu den vereinbarten oder gesetzlichen Honoraren bzw. Gebühren erstattet der Mandant kallan die im Zusammenhang mit der Bearbeitung des Mandats anfallenden Auslagen.

Reisekosten (Übernachtung, Flug, Bahn, Mietwagen  u.Ä.)  werden  in  der tatsächlich angefallenen Höhe abgerechnet.  

Als Auslagenpauschale für andere Kosten als Reisekosten, insbesondere Gebühren für Telekommunikations-, Post- und Kurierdienste sowie Kosten für Kopien und für die Nutzung externer Datenbanken und bei der Mandatsbearbeitung unterstützend eingesetzter Software wie z.B. Juris, Beck-Online, DeepL und ChatGPT Plus, wird ein Betrag entsprechend 5% der jeweils abgerechneten Netto-Vergütung berechnet, mindestens aber ein Betrag in Höhe von EUR 50, soweit in der Vergütungsvereinbarung nichts Abweichendes vereinbart ist.

Anfallende Umsatzsteuer wird ebenfalls zusätzlich berechnet.

4.3 Mehrere Auftraggeber in der gleichen Sache haften als Gesamtschuldner für Vergütung und Auslagen gemäß Ziffern 4.1 und 4.2.
4.4 kallan ist berechtigt, angemessene Vorschüsse auf Vergütung und Auslagen zu verlangen. Werden angeforderte Vorschüsse nicht bezahlt, so ist kallan berechtigt, nach vorheriger Ankündigung die weitere Tätigkeit einzustellen, bis der Vorschuss eingegangen ist, soweit dies nicht zur Unzeit geschieht.
4.5 Soweit in der Vergütungsvereinbarung nichts Abweichendes  vereinbart  ist,  sind die von kallan gestellten Rechnungen innerhalb von 10 Tagen ab Datum der Rechnung zur Zahlung fällig.
4.6 Leistet der Mandant Teilzahlungen und/oder ist der Mandant aus mehreren Mandanten zur Zahlung einer Vergütung an kallan verpflichtet und reicht eine vom Mandanten geleistete Zahlung nicht zur Tilgung sämtlicher Vergütungsforderungen aus, so werden eingehende Zahlungen zunächst auf die Kosten, dann auf die Zinsen und zuletzt auf die Hauptleistung angerechnet. Bei der Anrechnung auf die Hauptleistungen gilt die in § 366 Abs. 2 BGB vorgesehene Reihenfolge. Hiervon abweichende Tilgungsbestimmungen des Mandanten entfalten keine Wirkung.
4.7 Zur Sicherung der sich aus der Bearbeitung des Mandats ergebenden Ansprüche von kallan tritt der Mandant sämtliche Ansprüche auf Kostenerstattung durch die Gegenseite, Rechtsschutzversicherung oder sonstige Dritte in Höhe der offenen Forderung hiermit an kallan ab. kallan nimmt diese Abtretung hiermit an.
4.8 Der Mandant wird darauf hingewiesen, dass in arbeitsgerichtlichen Streitigkeiten außergerichtlich sowie in der ersten Instanz kein Anspruch auf Erstattung der Anwaltsgebühren oder sonstiger Kosten besteht. In solchen Verfahren trägt unabhängig vom Ausgang jede Partei ihre Kosten selbst. Dies gilt grundsätzlich auch für Kosten in Verfahren der freiwilligen Gerichtsbarkeit.
4.9 Auf Verlangen des Mandanten ist kallan zur Freigabe von Sicherheiten nach ihrer Wahl verpflichtet, wenn der Wert der abgetretenen Forderungen die Forderungen von kallan insgesamt um mehr als 20 % übersteigt.
4.10 kallan ist berechtigt, eingehende Kostenerstattungsansprüche und sonstige dem Mandanten zustehende Zahlungseingänge mit offenen Vergütungs- und Aufwendungersatzansprüchen einschließlich bereits aufgelaufener Kosten und Zinsen oder noch abzurechnenden Leistungen zu verrechnen.
4.11 kallan ist berechtigt, ohne die Beschränkungen des § 181 BGB über Kostenersatzansprüche und alle auch sonst von ihr in Empfang genommenen Gegenstände und Beträge zu verfügen.
4.12 Eine Aufrechnung gegen Forderungen von kallan auf Vergütung und Auslagenersatz ist nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen des Mandanten zulässig.
5. Haftung
5.1 Die Haftung von kallan für Schadensersatzansprüche aus dem zwischen dem Mandanten und kallan bestehenden Mandatsverhältnis ist bei einfacher Fahrlässigkeit in jedem einzelnen Schadensfall (Ziffer 5.4) auf EUR 10.000.000,- beschränkt, sofern kallan und der Mandant nicht eine anderweitige schriftliche Regelung treffen.
5.2 Die Haftungsbeschränkung in Ziffer 5.1 gilt nicht für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, die auf einer vorsätzlichen oder fahrlässigen Pflichtverletzung von kallan, eines gesetzlichen Vertreters oder Erfüllungsgehilfen beruhen und/oder für sonstige Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung von kallan, eines gesetzlichen Vertreters oder Erfüllungsgehilfen beruhen.
5.3 Falls  der  Mandant  im  Einzelfall  eine Erhöhung   des   Haftungshöchstbetrages in Ziffer 5.1 wünscht, kann kallan auf ausdrücklichen Wunsch des Mandanten im Einzelfall oder allgemein eine entsprechend höhere Versicherung abschließen. Dadurch anfallende Mehrkosten für Versicherungsbeiträge sind vom Mandanten gesondert zu erstatten.
5.4 Ein einzelner Schadensfall ist auch bei einem aus mehreren Pflichtverletzungen stammenden einheitlichen Schaden gegeben. Der einzelne Schadensfall umfasst sämtliche Folgen einer Pflichtverletzung ohne Rücksicht darauf, ob Schäden in einem oder in mehreren aufeinander folgenden Jahren entstanden sind. Ein einheitlicher Schadensfall liegt auch bezüglich sämtlicher Pflichtverletzungen im Rahmen eines einheitlichen Mandats vor, mögen diese auf dem Verschulden des Rechtsanwaltes oder einer von ihm her-angezogenen Hilfsperson beruhen.
6. Verjährung
Schadensersatzansprüche gegen kallan verjähren 24 Monate nach Beginn der gesetzlichen Verjährungsfrist. Dies gilt nicht für Schadensersatzansprüche aufgrund der Verletzung von Leben, Körper und Gesundheit, für Ansprüche wegen vorsätzlich oder grob fahrlässig verursachter Schäden, für Ansprüche wegen Schäden aufgrund arglistigen Verschweigens von Mängeln oder unerlaubter Handlungen sowie im Falle der Übernahme einer Garantie durch kallan. Ansprüche nach dem vorstehenden Satz verjähren mit Ablauf der gesetzlichen Verjährungsfristen.
7. Verschwiegenheit und Datenschutz
7.1 kallan ist berufsrechtlich zur Verschwiegenheit verpflichtet. Diese Pflicht bezieht sich auf alles, was kallan im Rahmen des Mandats durch den Mandanten anvertraut oder sonst bekannt wird. Insoweit steht kallan ein Zeugnisverweigerungsrecht zu.
7.2 Über das Bestehen eines Mandats und Informationen im Zusammenhang mit dem Mandat darf sich kallan gegenüber Dritten nur äußern, soweit nicht in Ziffern 7.4 und 7.5 oder gesetzlich etwas anderes bestimmt ist oder der Mandant kallan zuvor von der Schweigepflicht entbunden hat.
7.3 Nennt der Mandant kallan weitere Dienstleister (z.B. weitere in- oder ausländische Rechtsanwälte, Steuerberater, Wirtschaftsprüfer, Banken, Gutachter) oder sonstige Dritte zum Zweck der Abstimmung mit diesen, ist kallan gegenüber den benannten Dienstleistern oder sonstigen Dritten in dem für die Bearbeitung des jeweiligen Mandats erforderlichen Umfang von der Verpflichtung zur Verschwiegenheit befreit. 
7.4 Für personenbezogene Daten, die im Zusammenhang mit einem Mandat erhoben oder die sonst im Zusammenhang mit der Vorbereitung oder der administrativen Abwicklung eines Mandats registriert werden, ist kallan verantwortliche datenverarbeitende Stelle im Sinne des Datenschutzgesetzes. kallan verarbeitet personenbezogene Daten im Rahmen der Administration und der Erfüllung von Mandaten und im Rahmen von Maßnahmen vor der Mandatsannahme. Die Verarbeitung personenbezogener Daten erfolgt auch, damit kallan gesetzlichen Verpflichtungen nachkommen kann, insbesondere den Vorgaben anwaltlichen Berufsrechts und den Vorschriften zur Geldwäschebekämpfung.
7.5 Der Mandant ermächtigt kallan, personenbezogene Daten zu den in 7.4 genannten Zwecken und zur Umsetzung der gesetzlichen Vorschriften zur Bekämpfung von Geldwäsche gegebenenfalls in Drittländer (d.h. in Länder außerhalb der EU/des EWR) zu überführen. Dabei werden auch personenbezogene Daten der Vertreter und der wirtschaftlich Berechtigten zu denselben Zwecken erhoben, gespeichert, verarbeitet und genutzt. Der Mandant hat dafür Sorge zu tragen, dass diese Personen einer entsprechenden Verwertung zustimmen. kallan wird auf Fragen des Mandanten zum Umgang mit personenbezogenen Daten oder zum Umfang der erhobenen, gespeicherten oder verarbeiteten personenbezogenen Daten Auskunft geben.

8. Korrespondenz und Herausgabe von Unterlagen
8.1 kallan und Mandant werden zur Beschleunigung und Vereinfachung hauptsächlich per E-Mail korrespondieren. Dokumente werden ergänzend auch per Post übermittelt, sofern der Mandant dies ausdrücklich wünscht.
8.2 E-Mails unterliegen einer Transportverschlüsselung, wenn die Mailserver von kallan und Mandant insoweit kompatibel sind. Eine Inhaltsverschlüsselung von E-Mails (Ende-zu-Ende) erfolgt hingegen nicht, sofern die Parteien nicht bei Mandatserteilung etwas anderes ausdrücklich vereinbaren. Dem Mandanten ist bewusst, dass beim Versand unverschlüsselter E-Mails das Risiko besteht, dass Dritte evtl. von den übermittelten Daten Kenntnis nehmen können. Der Mandant erklärt sich ausdrücklich damit einverstanden und stellt kallan diesbezüglich von jeglicher Haftung frei.
8.3 kallan darf bei der gesamten Korrespondenz davon ausgehen, dass die vom Mandanten mitgeteilten Kommunikationsdaten – insbesondere E-Mail-Adressen, Telefon- und Faxnummern - richtig sind. Eine Pflicht zur Überprüfung besteht nicht.
8.4 Soweit zwischen den Parteien nicht im Einzelfall etwas anderes vereinbart ist, erfolgt die Kommunikation einschließlich der beruflichen Äußerungen (Berichte, Gutachten, Schriftsätze, Verträge etc.) von kallan auf Deutsch.
8.5 kallan ist berechtigt, die Herausgabe von Unterlagen (einschließlich Unterlagen, die der Mandant oder Dritte kallan im Rahmen der Mandatsbearbeitung überlassen haben) zu verweigern, bis sämtliche Vergütungsansprüche von kallan bezahlt sind.
9. Kündigung
Die Kündigung eines Mandats durch den Mandanten ist jederzeit möglich. kallan ist zur Kündigung nur berechtigt, sofern diese nicht zur Unzeit erfolgt, es sei denn, eine Weiterführung des Mandats ist oder wird für kallan unzumutbar oder wird aufgrund berufsrechtlicher Regelungen unzulässig.
10. Allgemeine Informationspflicht nach § 36 Verbraucherstreitbeilegungsgesetz (VSBG)
10.1 Soweit der Mandant Verbraucher im Sinne des § 13 BGB ist, ist kallan grundsätzlich bereit, an Streitbeilegungsverfahren bei der Schlichtungsstelle der Rechtsanwaltschaft (§ 191f Bundesrechtsanwaltsordnung, BRAO) bei der Bundesrechtsanwaltskammer teilzunehmen.
10.2 Zuständige Verbraucherschlichtungsstelle: Für vermögensrechtliche Streitigkeiten aus dem zwischen dem Mandanten und kallan bestehenden Mandatsverhältnis ist die Schlichtungsstelle der Rechtsanwaltschaft (§ 191f BRAO) bei der Bundesrechtsanwaltskammer, Rauchstraße 26, 10787 Berlin, www.s-d-r.org, zuständig.
11. Anzuwendendes Recht, Gerichtsstand, maßgebliche Sprache
11.1 Für alle vertraglichen Beziehungen zwischen kallan und seinen Mandanten gilt ausschließlich das Recht der Bundesrepublik Deutschland.
11.2 Ausschließlicher Gerichtsstand für alle sich aus einem Mandat ergebenden Streitigkeiten ist Berlin. 
11.3 Die deutsche Fassung dieser Allgemeinen Mandatsbedingungen ist rechtlich maßgebend, die englische Fassung dient nur der Übersetzung. 
11.4 Die etwaige Rechtsunwirksamkeit einer Bestimmung dieser Allgemeinen Mandatsbedingungen berührt die Rechtswirksamkeit der übrigen Bestimmungen nicht.

General Terms and Conditions of kallan Rechtsanwaltsgesellschaft mbH

 

1. Scope of Application
1.1 These General Terms and Conditions apply to all agreements between kallan Rechtsanwaltsgesellschaft mbH ("kallan") and its principals ("clients") regarding legal advice, representation and the management of another's affairs, including litigation and other assignments ("mandate" or "mandates"), unless the parties have expressly agreed otherwise in writing, or this is required by law.
1.2 These General Terms and Conditions also apply to all other assignments conferred by the client at the same time or in the future unless the parties agree otherwise in writing.
1.3 Any terms and conditions of the client conflicting with or deviating from these General Terms and Conditions will not be recognised unless kallan expressly agrees to their application.
2. Scope and Performance of the Mandate
2.1 The subject matter of each mandate is the service agreed and not a particular (economic) success. The subject matter of each mandate depends on the specific instructions given by the client in an individual case. Mandate instructions can be given orally, in writing or by email. A mandate relationship only comes into effect on kallan's acceptance of a client's instructions.
2.2 If a mandate requires kallan to provide written results, only the written explanation is decisive. Verbal statements and information provided beyond a specific mandate are always non-binding.
2.3 All services provided by kallan under these General Terms and Conditions are provided exclusively towards the client. kallan will only be liable to third parties if in an individual case at the client's request kallan expressly undertakes in writing to be liable in that regard.
2.4 Disclosure to third parties of kallan's professional statements (reports, expert opinions, legal documents, contracts, etc.) requires its prior written consent unless consent to disclose the statement to a specific third party results as such from the content of the given mandate.
2.5 Each mandate will be performed in accordance with the principles of proper professional practice. kallan may make use of employees, third party experts and data processing companies to perform the mandate.
2.6 The mandate will be performed solely on the basis of the laws of the Federal Republic of Germany and does not include tax advice. The client must commission its own clarification of any tax consequences using its own third party experts (e.g. tax consultants, auditors) and notify kallan immediately of any resulting requirements. If the mandate involves foreign law, kallan will notify the client in good time. Consideration of foreign law requires an express written agreement. For these purposes, EU law is not considered foreign law.
2.7

If the involvement of third parties is necessary or useful or desired by the Client in order to provide advice in legal questions under German or foreign law, the third party will act directly as a contractor for the client if kallan and the client do not expressly agree otherwise in writing.

If and to the extent the client expressly desires that a third party acts as subcontractor of kallan the client is aware and agrees as of the date of the assignment of the third party (a) that kallan is only liable for the careful selection and instruction of the third party and that any further liability for the third party is excluded and (b) that kallan's insurance covers only kallan's liability as set forth in lit. (a).

 2.8 kallan is not obliged to advise the client with regard to changes in the law and resulting consequences after giving a final professional statement.
3. Cooperation of kallan and the Client During the Mandate
3.1 kallan will inform the client of the information which it requires to perform the mandate and advise the client of the documents and information kallan considers necessary.
3.2 The client will support kallan in the performance of the specific mandate and provide kallan in good time with all information and documents necessary or relevant for the performance of the mandate, without special request by kallan.
3.3 In addition, the client must promptly notify kallan of any further events and circumstances that may be relevant to the performance of the mandate. This also applies to documents, events and circumstances which become known only after kallan has begun to perform the mandate.
3.4 kallan is entitled to assume that the facts provided by the client, in particular numerical information, are correct and complete, when advising on individual questions and in the provision of ongoing advisory services. This does not apply where an examination of facts and figures is expressly required in the mandate. However, kallan is obliged to inform the client of any errors discovered in the course of dealing with a mandate.
3.5 The client will provide kallan with written powers of attorney for submission to authorities, courts and other third parties. A power of attorney granted to kallan may only be revoked in writing.
4. Remuneration, Reimbursement, Assignment and Set-off
4.1 kallan will be remunerated in accordance with a separate remuneration agreement concluded between kallan and the client. If a remuneration agreement is not concluded, kallan will charge in accordance with the terms of the Law on the Remuneration of Attorneys (RVG).
4.2

In addition to the agreed or statutory remuneration/fees, the client will reimburse kallan for expenses incurred in connection with the handling of the mandate.

Travel expenses (overnight stay, flight, train, rental car, etc.) will be invoiced in the amount actually incurred.

As an expense allowance for costs other than travel expenses, in particular fees for telecommunication, postal and courier services as well as costs for copies and for the use of external databases and software applied in support of the processing of the mandate, e.g. Juris, Beck-Online, DeepL and ChatGPT Plus, an amount corresponding to 5% of the net remuneration settled in each case, but at least an amount of EUR 50, unless otherwise agreed in the remuneration agreement.

VAT will be added as applicable.

4.3 Multiple clients in the same matter are jointly and severally liable for remuneration and expenses under clauses 4.1 and 4.2.
4.4 kallan may require reasonable advances for remuneration and expenses. If the requested advances are not paid, kallan may, after giving prior notice, cease further performance until the advances have been received, as long as this is not done at an inopportune moment.
4.5 Unless otherwise agreed in the remuneration agreement, invoices made by kallan are due for payment within 10 days after the date of the invoice.
4.6 If a client makes part payments and/or if a client is obliged to remunerate kallan for multiple mandates and the payment made by the client is insufficient to settle all remuneration claims, payments received will be credited first to costs, then to interest and finally to the principal service. In crediting payments to the principal service, the order specified in Section 366 para. 2 of the German Civil Code (BGB) applies. Repayment provisions of the client deviating from the above  will have no effect.
4.7 To secure the claims of kallan arising from the performance of the mandate, the client hereby assigns to kallan any claims to reimbursement from the opposing party, legal costs insurance or other third parties for the amount of the outstanding claim. kallan hereby accepts this assignment.
4.8 The client's attention is drawn to the fact that in disputes within the jurisdiction of the labour courts both in out of court and first instance matters no claim can be made for reimbursement of attorney fees or other costs. In such proceedings, each party bears its own costs, regardless of the outcome. The same applies, in principle, to costs incurred in non-contentious proceedings.
4.9 At the client's request, kallan must release securities of its own choosing if the value of the claims assigned exceeds kallan's total claims by more than 20%.
4.10 kallan is entitled to set off incoming cost reimbursements and other payments due to the client against kallan's outstanding remuneration and reimbursement claims, including costs and interest already incurred or services not yet billed.
4.11 kallan is entitled to draw on cost reimbursements and any other items and amounts received, without the restrictions of Section 181 of the German Civil Code (BGB).
4.12 Set-off against kallan's claims for remuneration and reimbursement of expenses is permitted only where the client's claims are uncontested or have been determined by binding judgment.
5. Liability
5.1 kallan's liability for claims arising out of the mandate relationship between kallan and the client is limited to EUR 10,000,000 in the case of ordinary negligence for each single event of damage (clause 5.4), unless kallan and the client have agreed otherwise in writing.
5.2 The limitation of liability in clause 5.1 does not apply to damage resulting from injury to life, body or health due to an intentional or negligent breach of duty by kallan, its legal representative or vicarious agent and/or for other damage arising from an intentional or grossly negligent breach of duty by kallan, its legal representative or vicarious agent.
5.3 If in an individual case a client wishes to increase the maximum liability amount specified in clause 5.1, kallan may, at the client’s express request, obtain correspondingly higher insurance cover, either in the individual case or in general. The client must reimburse separately any resulting increase in insurance premiums.
5.4 It is considered a single event of damage where uniform damage results from multiple breaches of duty. A single event of damage includes all consequences of a breach of duty whether damage occurs in a single year or in several consecutive years. All breaches of duty occurring within the framework of a single mandate, whether due to the fault of the attorney or an auxiliary used by him, are considered a single event of damage.
6. Limitation Period
Damages claims against kallan become time-barred 24 months after the statutory limitation period commences. This does not apply to claims resulting from injury to life, body or health, for claims due to damage caused intentionally or through gross negligence, for claims due to damage resulting from the fraudulent concealment of defects or tortious acts, and in case kallan has assumed a guarantee. Claims under the preceding sentence become time-barred upon expiry of the statutory limitation periods.
7. Confidentiality and Data Protection
7.1 In accordance with professional rules, kallan is bound to observe confidentiality. This obligation of confidentiality applies to everything that a client entrusts to kallan or becomes known to kallan within the scope of the mandate. In this respect, kallan has a right to refuse to testify.
7.2 Towards third parties, kallan may comment on the existence of a mandate and provide information regarding the mandate only to the extent provided for in clauses 7.4 and 7.5 or as required by law, or where the client has released kallan from the non-disclosure obligation.
7.3 If a client specifies other service providers (e.g. other domestic or foreign lawyers, tax consultants, accountants, banks, surveyors) or other third parties with whom kallan shall coordinate, then kallan in its dealings with those service providers or other third parties is released from its duty of confidentiality to the extent necessary to perform the relevant mandate.
7.4 In relation to personal data collected in connection with a mandate or otherwise recorded in connection with the preparation or the administrative handling of a mandate, kallan is the body responsible for the conduct of data processing within the meaning of the Data Protection Act. kallan processes personal data within the framework of its administration and the performance of mandates and in the context of measures taken before acceptance of the mandate. The processing of personal data is also carried out in order to comply with legal obligations, in particular laws governing the legal profession and anti-money laundering rules.
7.5 The client authorises kallan to transfer personal data for the purposes stated in clause 7.4 and for compliance with anti-money laundering legislation, where necessary, to third countries (i.e. countries outside the EU / EEA). Personal data of representatives and beneficial owners are also collected, stored, processed and used for the same purposes. The client must ensure that these persons agree to treatment of this kind. kallan will provide information on the handling of personal data or the extent of the personal data collected, stored or processed upon the client's request.

8. Correspondence and Surrender of Documents
8.1 kallan and the client will mainly correspond by email for the purposes of speed and simplicity. In addition, documents will also be sent by post if a client expressly requests this.
8.2 Emails are subject to transport encryption if kallan's and the client's email server are compatible in this respect. However, the content of emails will not be encrypted (end-to-end), unless the parties expressly agree otherwise when kallan is instructed with the mandate. The client is aware of the fact that the sending of unencrypted emails involves a risk that third parties may obtain knowledge of the data transmitted. The client expressly agrees to this and exempts kallan from any liability in this respect.
8.3 Throughout the entire correspondence, kallan may assume that the communication data provided by the client are correct, in particular email addresses, telephone and fax numbers. kallan has no obligation to verify the communication data.
8.4 Unless the parties agree otherwise in an individual case, all communications from kallan, including its professional statements (reports, expert opinions, pleadings, contracts, etc.) will be in German.
8.5 kallan is entitled to refuse the surrender of documents (including documents which the client or third parties provided to kallan in the context of the performance of the mandate) until all kallan's claims for remuneration have been paid.
9. Termination
The termination of a mandate by the client is possible at any time. kallan may only terminate the mandate if this does not take place at an inopportune moment, unless a continuation of the mandate is or becomes unreasonable for kallan or becomes prohibited under professional rules.
10. Information obligation according to § 36 Consumer Dispute Resolution Act (VSBG) 
10.1 If the client is a consumer according to Section 13 of the German Civil Code (BGB), kallan is generally willing to take part in alternative dispute resolution procedures at the Lawyers' Mediation Board (Section 191f of the German Federal Lawyers’ Act, BRAO) at the German Federal Bar Association (Schlichtungsstelle der Rechtsanwaltschaft). 
10.2 Responsible alternative dispute resolution entity: 
Responsible for proprietary disputes arising from the mandate relationship between kallan and the client is the Lawyers' Mediation Board (Section 191f of the German Federal Lawyers’ Act, BRAO) at the German Federal Bar Association (Schlichtungsstelle der Rechtsanwaltschaft), Rauchstraße 26, 10787 Berlin, www.s-d-r.org.
11. Governing Law, Place of Jurisdiction, Binding Version
11.1 All contractual relations between kallan and its clients are governed exclusively by the laws of the Federal Republic of Germany.
11.2 Exclusive place of jurisdiction for all disputes arising directly or indirectly from a mandate is Berlin.
11.3 The German version of these General Terms and Conditions is legally binding; the English version is only for translation purposes.
11.4 Any legal invalidity of a provision of these General Terms and Conditions does not affect the legal validity of the remaining provisions.
